Terms of Service

1. Acceptance of Terms
By accessing, browsing, or using AccessPolicyIQ's platform, website, and related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to any part of these Terms, please do not use the Service. These Terms apply to all users, including but not limited to browsers, vendors, customers, merchants, and content contributors.
2. Use License
AccessPolicyIQ grants you a limited, non-exclusive, non-transferable license to access and use the Service for legitimate business purposes in accordance with these Terms. This license does not include any right to: (1) modify or copy the materials; (2) use the materials for any commercial purpose or for any public display; (3) attempt to reverse engineer, decompile, or discover any source code or trade secrets; (4) upload, transmit, or distribute viruses or malware; or (5) interfere with or disrupt the Service or servers connected to the Service.
3. Acceptable Use Policy
You agree not to use the Service for any unlawful purposes or in any way that violates these Terms or applicable law. Specifically, you will not: (1) harass, threaten, embarrass, or cause distress or discomfort to any individual; (2) collect, compile, or use any information from the Service for surveillance or other purposes not explicitly permitted; (3) attempt to gain unauthorized access to any portion or feature of the Service; (4) deliberately disrupt the normal flow of dialogue, activity, or service; or (5) use the Service to distribute unsolicited advertisements or spam.
4. Subscription and Payment
If you purchase a subscription to the Service, you agree to pay the applicable fees as set forth in your subscription agreement. Fees are exclusive of applicable taxes and government charges unless stated otherwise. Billing will occur monthly or annually based on your selected plan. Failure to pay fees may result in suspension or termination of your account. All refund requests must be submitted within 30 days of payment. Policy Essentials subscriptions are non-refundable after the first 30 days. Enterprise subscriptions are subject to your signed service agreement.
5. Intellectual Property Rights
All materials included in the Service, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of AccessPolicyIQ or its content suppliers and are protected by international copyright laws. You are granted a limited license to reproduce materials for your personal use only, provided you retain all copyright and proprietary notices. All other reproduction, distribution, or use is prohibited without our express written consent.
6. User Content and Data
When you upload firewall rules, ACLs, network policies, or other data to the Service ("User Data"), you retain ownership of such data. However, you grant AccessPolicyIQ a worldwide, royalty-free, perpetual license to use, reproduce, process, and analyze your User Data solely for: (1) providing the Service; (2) improving our algorithms and AI models; and (3) generating anonymized, aggregated analytics and insights. We will not share your User Data with third parties except to comply with law or as necessary to provide the Service.
7. Limitation of Liability
IN NO EVENT SHALL ACCESSPOLICYIQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not allow the limitation of liability, so this limitation may not apply to you.
8. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ACCESSPOLICYIQ MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Indemnification
You agree to defend, indemnify, and hold harmless AccessPolicyIQ and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from: (1) your use of the Service; (2) your violation of these Terms; (3) your violation of applicable law; or (4) any claims that your User Data infringes upon any third-party intellectual property rights.
10. Termination
AccessPolicyIQ may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, except where prohibited by law. Upon termination, your right to use the Service ceases immediately. You remain liable for any outstanding fees. Sections regarding intellectual property, limitation of liability, indemnification, and governing law will survive termination.
11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in California, and you hereby consent to the personal jurisdiction and venue of such courts.
12. Changes to Terms
AccessPolicyIQ reserves the right to modify these Terms at any time. Changes become effective upon posting to the website. Your continued use of the Service after any modifications constitutes your acceptance of the updated Terms. We will notify users of material changes via email or prominent website notice.
